Terms of Service

These terms govern your account with Prime FX: who may open one, how orders are executed, how margin and leverage work, what we charge, how deposits and withdrawals are handled, and what each side is responsible for. They form a binding agreement — read them before you open an account.
01Who we are and what these terms cover
These Terms of Service (the “Terms”) are the agreement between you and PENDING: registered company name, trading as Prime FX, registered at PENDING: registered address under company number PENDING: company registration number. In these Terms, “we”, “us” and “Prime FX” mean that company; “you” means the account holder.
Prime FX operates through separate licensed entities. The entity that holds your account depends on your country of residence and is named in your account opening confirmation. The regulator and licence number for each entity are published on our licensing page.
These Terms apply together with our Privacy Policy and our Disclosures. By opening an account, funding it, or placing an order, you confirm that you have read and accept all three. If you do not accept them, do not open an account.
02Eligibility
To open and hold an account you must:
- be at least 18 years old, or older if that is the age of majority where you live;
- have the legal capacity to enter into a binding contract;
- act on your own behalf and not as a front for another person;
- not be a resident or citizen of, or located in, a jurisdiction where our services may not lawfully be offered (see section 21);
- not appear on any applicable sanctions list, and not be acting for a person who does.
We may refuse an application without giving a reason, and we may close an account if we later find that any of the above is not true.
03Identity verification and ongoing checks
Before your account is approved for trading and before any withdrawal is released, you must complete identity and address verification. We will ask for government-issued photo identification, proof of your residential address, and, where required by law, information about the source of your funds.
We are required to keep this information current. We may ask you to re-verify at any time, and we may suspend trading or withdrawals on an account until outstanding verification is completed. Deliberately providing false information is a breach of these Terms and may be reported to the relevant authorities.
Your account is personal to you. It may not be operated by, transferred to, or shared with anyone else, and we will not send funds to an account held in a different name.
04What we provide, and what we do not
We provide access to an electronic platform through which you may trade Contracts for Difference and leveraged foreign exchange on instruments including currency pairs, indices, commodities, cryptocurrencies and shares. When you trade a CFD, you do not buy or own the underlying instrument; you enter a contract whose value tracks the price of that instrument.
We provide an execution-only service. We do not give investment, tax or legal advice, and nothing we publish — market commentary, research, educational content, the prices shown on this website, or anything said by our staff or by an introducing agent — is a recommendation to enter into any transaction. Every decision to open, size or close a position is yours.
Market data displayed on our public website is indicative, may be delayed, and comes from third-party sources. It is not our execution price and must not be relied on for trading decisions.
05Risk acknowledgement
Leveraged products carry a high risk of loss. By accepting these Terms you confirm that you understand and accept the following:
- Losses can exceed the amount you deposited. A small move against you can consume your entire margin.
- Markets can gap. In fast or illiquid conditions your order may be filled at a price materially worse than the one displayed when you submitted it, and protective orders may not limit your loss to the level you set.
- Past performance, including any figure shown in marketing material or a testimonial, does not predict future results.
- You should never trade with money you cannot afford to lose.

06Leverage, margin and liquidation
Leverage lets you control a position larger than your account balance. The margin you must hold depends on the leverage tier applied to your account and on the instrument you are trading. The tiers we offer, and the margin each one requires, are published on our leverage page.
You are responsible for maintaining enough margin at all times. We may change margin requirements — including with immediate effect, and including on positions you already hold — when market conditions, liquidity, or a regulatory requirement makes it necessary.
If your margin level falls below the close-out threshold, positions may be closed automatically, in whole or in part, without prior notice. We are not obliged to issue a margin call first, and any warning we do send is a courtesy, not a commitment. Automatic close-out is a risk control, not a guarantee: it does not ensure your loss stops at any particular level.
07Orders, pricing and execution
Prices quoted on the platform are our prices, derived from our liquidity providers. They may differ from prices quoted elsewhere. Spreads are variable and widen in volatile or thin conditions; any typical spread shown on our website is an average, not a guaranteed figure.
Orders are executed on a best-efforts basis. Slippage can occur in either direction. We may reject, cancel or requote an order where the price is manifestly erroneous, where the market is closed or suspended, where you hold insufficient margin, or where accepting it would breach a position or exposure limit.
You are responsible for every order placed from your account, including orders placed by anyone who obtains your credentials. Keep your password confidential and tell us immediately if you suspect unauthorised access.
08Deposits
The minimum initial deposit is $100. Deposits may be made by the methods shown in your account area. Funds must come from an account or wallet held in your own name; third-party payments will be returned.
Deposits are credited once the funds clear and any required verification is complete. The payment provider may charge its own fees and apply its own processing times, which are outside our control. Currency conversion, where it applies, is carried out at the rate shown at the time of the transaction.
09Withdrawals
You may request a withdrawal of any funds not committed as margin at any time. Requests are processed within one to three business days of approval. The time taken for funds to reach you after that depends on your bank or payment provider.
Withdrawals are returned to the same method and the same name used to deposit, as far as the payment rails allow. We may hold a withdrawal where verification is incomplete, where we are required to do so by law or by a competent authority, or where we are investigating suspected breach of these Terms — and we will tell you when we do, unless the law prevents us.
10Fees and charges
Our charges are set out in your account area and may include some or all of the following:
- Spread — the difference between our buy and sell price, applied on every trade.
- Commission — where the account type or instrument carries one.
- Overnight financing (swap) — charged or credited on positions held past the daily rollover, and capable of being significant on a position held for a long time.
- Payment and currency conversion charges — where applied by us or by the payment provider.
- Inactivity fee — where an account remains dormant, on the terms shown in your account area.
We may change our charges. Except where a change is driven by market conditions or a regulatory requirement and must take effect immediately, we will give you notice before it applies.
11Client funds
Client deposits are held in accounts kept separate from our own operating funds, in accordance with the requirements of the regulator of the entity that holds your account. Segregation is a safeguard on how funds are held; it does not remove market risk and it does not guarantee recovery of funds in every circumstance.
Unless the applicable rules provide otherwise, we do not pay interest on balances held in your account.
12Prohibited conduct
You must not:
- exploit a pricing error, a latency gap, a platform malfunction, or any other technical defect;
- use any arrangement designed to trade on prices that do not reflect the prevailing market, including latency arbitrage;
- coordinate trading across accounts, or open accounts in other names, to avoid a limit we have applied;
- use the platform for market abuse, money laundering or any other unlawful purpose;
- attempt to gain unauthorised access to our systems, or interfere with their operation.
Where we reasonably believe conduct of this kind has occurred, we may void the affected trades, correct the resulting balance, suspend or close the account, and report the matter to the relevant authority.
13Suspension, closure and dormant accounts
You may close your account at any time, provided it holds no open positions and no outstanding obligations to us. We will return any remaining balance to you, subject to verification.
We may suspend or close your account where you breach these Terms, where we are required to do so by law or by a regulator, where we reasonably suspect fraud or abuse, or on reasonable notice for any other legitimate business reason. Where we close an account, we will close open positions at prevailing market prices and return the remaining balance to you.
An account with no trading activity and no login for an extended period may be treated as dormant and charged an inactivity fee on the terms shown in your account area.
14Platform availability and technology
We work to keep the platform available, but we do not guarantee uninterrupted access. Maintenance, connectivity problems, third-party outages, and events outside our reasonable control can all interrupt service. You are responsible for your own internet connection and devices.
Where the platform is unavailable, contact us using the details in section 22. We do not accept orders by email or messaging app as a routine channel.
15Communications and records
We communicate in English unless we agree otherwise. Notices to you are sent to the email address registered on your account, and are treated as received when sent.
We record and retain communications — including calls, chats and emails — for training, quality, security and regulatory purposes. These records are our property and may be used as evidence in a dispute. Our records of your trading activity are conclusive unless you show a manifest error.
16Complaints
If something goes wrong, tell us first. Write to PENDING: complaints email with your account number and a description of what happened. We will acknowledge your complaint and respond within PENDING: complaint response time.
If you are not satisfied with our answer, you may escalate the matter to the regulator or external dispute resolution scheme that covers the entity holding your account. We will tell you which one applies to you and how to reach it.
17Limitation of liability
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud, or any obligation we owe you under the rules of our regulator.
Subject to that, we are not liable for:
- trading losses, or profits you did not make, resulting from your own decisions or from normal market movement;
- losses caused by events outside our reasonable control, including market disruption, the failure of a liquidity provider, payment provider or communications network, or action by a government or regulator;
- indirect or consequential loss, loss of opportunity, or loss of data.
18Indemnity
You agree to reimburse us for any loss, cost, claim or expense we reasonably incur as a result of your breach of these Terms, your breach of applicable law, or a false statement you have made to us. This does not apply to the extent the loss results from our own negligence or breach.
19Intellectual property
The platform, this website, our name, logo, content and market data displays belong to us or to our licensors. You may use them only to operate your own account. You may not copy, redistribute, scrape, reverse-engineer or make derivative use of any part of them without our written permission.
20Changes to these terms
We may amend these Terms. Where an amendment is material, we will give you reasonable notice by email or through your account area before it takes effect, except where a change is required by law or by a regulator and must apply immediately. The date at the top of this page shows when it was last revised. Continuing to use your account after an amendment takes effect means you accept it; if you do not, you may close your account.
21Governing law and jurisdiction
These Terms, and any dispute arising out of them, are governed by PENDING: governing law and courts. Nothing in this section removes a right you have under the mandatory consumer law of the country where you live.
22Restricted jurisdictions
We do not offer services to residents of jurisdictions where doing so would breach local law, and we do not market to them. The current list of restricted jurisdictions is available on request and may change. It is your responsibility to satisfy yourself that using our services is lawful where you live; opening an account is not our confirmation that it is.
